Terms of Service

1. Introduction

Welcome to Aegics ("we," "our," or "us"). These Terms of Service ("Terms") govern your use of the Aegics website (https://aegics.com) and our software-as-a-service (SaaS) products, including the Audience Integrity Engine and Trends Intelligence (collectively, the "Services"). The Services are provided and billed by Swaynetic.AI (Swaynetic s. r. o.), a company registered in the Slovak Republic, IČO: 56356587, DIČ: 2122284428, IČ DPH: SK2122284428, registered in the Commercial Register of the Municipal Court Bratislava III, Section: Sro, File No.: 179599/B, with its registered office at Trnavská cesta 169/64, 821 02 Bratislava, Slovakia ("Provider").

By registering for or using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

2. Services and Free Trial

We offer access to our Audience Integrity Engine and Trends Intelligence software on a subscription basis.

• Free Trial: We offer a free trial period for our Services. No credit card is required to begin the free trial.
• At the end of the free trial, your access will be paused unless you choose to upgrade to a paid monthly subscription.

3. Accounts and Registration

To access the Services, you must register for an account. You agree to provide accurate and complete information and to keep this information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

4. Subscriptions, Payments, and Billing

• Monthly License Fee: After the free trial, continued use of the Services requires a paid monthly subscription.
• Payment Processor: All payments are securely processed through our third-party payment provider, Stripe. We do not store your full credit card details on our servers.
• Billing Cycle: Subscription fees are billed on a recurring monthly basis. By subscribing, you authorize us to charge your payment method on file via Stripe. To prevent automatic charges for the next billing cycle, you must cancel your subscription at least 24 hours before the new cycle begins.
• Taxes: All fees for business customers (B2B) are exclusive of applicable taxes (such as VAT) unless explicitly stated otherwise. For consumers (B2C), prices are displayed as final and include all applicable taxes, including VAT. You are responsible for any applicable taxes based on your location if applicable.

5. Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing cycle. You will retain access to the Services until the end of that cycle. We do not offer refunds or credits for partial months of service, except as required by consumer protection laws.

6. Consumer Protection (B2C) and Business Use (B2B)

Our Services are available to both businesses (B2B) and individual consumers (B2C). If you are a consumer residing in the European Union, you have the right to withdraw from this agreement within 14 days without giving any reason. To exercise the right of withdrawal, you must inform us of your decision by an unequivocal statement, or you may use the standard withdrawal form attached as an appendix at the end of these Terms. However, if you start using the paid Services (e.g., analyzing data) during the withdrawal period with your express consent, you acknowledge that you lose your right of withdrawal. In case of disputes, consumers may use the Alternative Dispute Resolution (ADR) platform provided by the European Commission or contact the Slovak Trade Inspection (SOI), specifically the Inspectorate of SOI for the Bratislava Region (Inšpektorát SOI pre Bratislavský kraj), Bajkalská 21/A, P. O. BOX č. 5, 820 07 Bratislava, Slovakia.

7. Intellectual Property

All software, design, text, and graphics associated with Aegics, the Audience Integrity Engine, and Trends Intelligence are the exclusive property of Swaynetic.AI. You are granted a limited, non-exclusive, non-transferable license to use the Services for your internal business or personal purposes during your subscription term. You may not copy, modify, or reverse-engineer any part of the Services.

8. Customer Data and Indemnification

You retain full ownership of all data, social media content, and information you connect or upload to the Services ("Customer Data"). You grant us a non-exclusive license to process Customer Data solely for the purpose of providing and improving the Services. You expressly warrant that you have all necessary rights, consents, and legal bases to process and analyze such Customer Data. If Swaynetic.AI faces any legal claims or damages due to your illegal or unauthorized processing of third-party data, you agree to fully indemnify, defend, and hold us harmless against all such claims and legal costs.

9. Acceptable Use and Fair Use Policy

You agree not to use the Services to:

• Violate any applicable local, national, or international law.
• Infringe upon the rights of others.
• Distribute malware, spam, or malicious code.
• Attempt to disrupt or compromise the integrity or security of our Services.

Fair Use Policy: To ensure the stability of our Services for all users, you agree not to abuse the API or the platform. Scraping our content, automated mass-extraction of data without authorization, or generating an unreasonable load on our servers is strictly prohibited. We reserve the right to throttle, suspend, or terminate accounts that violate this Fair Use Policy.

Account Termination: In the event of a suspected violation of these Terms or the Acceptable Use Policy, we reserve the right to unilaterally suspend, block, or completely delete your account without prior notice and without any right to a refund.

10. Disclaimer of Warranties and Complaints Procedure

The Services, including the Audience Integrity Engine and Trends Intelligence, are provided on an "As is" and "As available" basis. We do not warrant that the Services will be uninterrupted, error-free, or entirely secure. To the maximum extent permitted by law, we disclaim all implied warranties, including any warranties of accuracy of AI-driven analysis, fitness for a particular purpose, or merchantability. AI evaluations and trends analysis are predictive and not guaranteed to be fully accurate.

Complaints Procedure (Reklamačný poriadok): For B2C consumers, in the event of service malfunction, incorrect billing, or other defects, you have the right to file a complaint. Complaints should be sent via email to info@aegics.com. We will process and resolve your complaint without undue delay, and no later than 30 days from the date of its submission.

11. Service Level Agreement (SLA) and Uptime

We strive to provide highly reliable Services. However, we do not guarantee 100% uptime. The Services may occasionally experience downtime due to scheduled maintenance, updates, or unforeseen technical issues. Such temporary outages do not constitute a breach of these Terms and do not entitle you to a refund of subscription fees, unless expressly agreed otherwise in an Enterprise SLA contract.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Swaynetic.AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Services.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Slovak Republic. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the Slovak Republic.

14. Changes to these Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on the website or via email. Continued use of the Services after such changes constitutes your acceptance of the new Terms.
